1. Parties and scope

1.1These Terms of Service (“Terms”) apply to the Robocaller service provided by Gibox Oy (business ID 3522481-3), Helsinki, Finland (“Robocaller”, “we”) to the company that accepts them (“Customer”).

1.2The Service is offered to businesses only. The Customer confirms that it uses the Service for its business. Consumer protection legislation does not apply.

1.3The Customer’s order (the price, plan, billing method and payment terms accepted in the Service or otherwise agreed in writing, the “Order”) and the Free Trial Terms where a free trial applies form the agreement together with these Terms. If they conflict, the Order prevails, then the Free Trial Terms, then these Terms. A data processing agreement the parties sign (section 10.1) prevails on the processing of personal data.

2. Acceptance and authority

2.1The Terms are accepted by an authorised representative of the Customer in the Service. The person accepting confirms that they are entitled to bind the Customer.

2.2The Customer is responsible for its users, their credentials and everything done with its users’ accounts. Users act on the Customer’s behalf.

3. The Service

3.1Robocaller provides a software service for sales outreach (calls, email, SMS, LinkedIn, CRM and related features) as described in the Service and the Order.

3.2Robocaller develops the Service and may change its features. Robocaller will not remove a feature essential to the Customer’s Order during a paid billing period without notice.

3.3The Service is provided as available. No service level applies unless the Order says so. Maintenance is done where possible outside Finnish business hours.

4. The Customer's responsibilities and acceptable use

4.1The Customer is responsible for the lawfulness of its outreach and of the personal data it processes in the Service, including the rules on electronic direct marketing (Act on Electronic Communications Services 917/2014), telemarketing, the GDPR and the terms of third-party platforms (such as LinkedIn, Google and Microsoft) it connects to the Service.

4.2The Customer must not use the Service for unlawful, misleading or harassing communication, for spam, or in a way that endangers the Service or other customers.

4.3Robocaller may restrict or suspend the Service without delay if the Customer breaches this section or if required by law or a platform provider, and will tell the Customer why.

5. Fees and VAT

5.1The fees are set out in the Order and Robocaller’s price list as it applies to the Order. Fees are stated excluding value added tax; VAT is added at the rate in force (currently 25.5%).

5.2Usage-based items (such as call minutes, SMS and phone numbers) are charged as stated in the Order or price list.

5.3Robocaller may change its list prices with at least 30 days’ notice. A changed price applies to the Customer only when the Customer accepts it in the Service; until then the Customer’s accepted price stays in force for the current Order, and either party may end the Order as in section 9.

6. Invoicing and payment

6.1Fees are invoiced in advance for each billing period (monthly or annually as in the Order); usage is invoiced afterwards.

6.2The billing method is the one in the Order: an electronic invoice (e-invoice) to the address given in the Order, or a payment card through Stripe.

6.3The payment term is the one in the Order (net days from the invoice date; 14 days net if the Order does not say).

6.4Remarks on an invoice must be made in writing within 8 days of the invoice date. The undisputed part of an invoice must be paid when due.

7. Late payment

7.1On late payment the Customer pays late-payment interest under section 4 a of the Interest Act (633/1982), the reference rate plus eight percentage points, from the due date.

7.2Robocaller is entitled to the fixed compensation of EUR 40 for recovery costs under section 10 of the Act on Payment Terms in Commercial Contracts (30/2013), and to reasonable further collection costs as permitted by law.

7.3If an invoice remains unpaid after Robocaller has sent a payment reminder giving at least 7 days to pay, Robocaller may suspend the Service until the overdue amount is paid. Suspension does not end the Order or the Customer’s obligation to pay.

8. Free trials

A free trial is governed by the Free Trial Terms accepted for it, which form part of the agreement.

9. Term and termination

9.1The agreement is in force until terminated.

9.2The Customer may end a monthly Order with effect from the end of the current billing period and an annual Order from the end of the current annual period, by notice to support@robocaller.io. Fees already invoiced are not refunded except where the law requires.

9.3Robocaller may end the agreement with 30 days’ notice, or with immediate effect if the Customer materially breaches it and does not remedy the breach within 14 days of a notice, or if the Customer becomes insolvent.

9.4After the agreement ends the workspace is locked. Robocaller keeps the Customer’s data locked for 90 days, during which the Customer may ask to export it, and may delete it after that.

10. Data protection

10.1The Customer is the controller of the personal data it processes in the Service and Robocaller is its processor. Robocaller processes that data only on the Customer’s documented instructions (these Terms and the Customer’s own use and settings of the Service), ensures that the persons who process it are bound to confidentiality, protects it with appropriate technical and organisational measures, and assists the Customer as Article 28 of the GDPR requires. The further terms Article 28(3) of the GDPR requires are to be set out in a separate data processing agreement between the parties.

10.2Robocaller is the controller of its own customer, user and billing data and of the records of this agreement (including who accepted these Terms and when), as described in Robocaller’s privacy notice.

11. Confidentiality

Each party keeps confidential the other’s non-public business information received under the agreement, during the agreement and for 3 years after it.

12. Intellectual property

Robocaller and its licensors own the Service. The Customer owns its data. The Customer receives a non-exclusive, non-transferable right to use the Service during the agreement for its own business.

13. Third-party services

The Service relies on third-party services (such as telephony, email, AI and LinkedIn connections). Robocaller is not responsible for changes, interruptions or restrictions caused by them or by their terms.

14. Warranties

The Service is provided as it is. Robocaller does not warrant that it is uninterrupted or error-free or that it achieves a particular result.

15. Limitation of liability

15.1Neither party is liable for indirect or consequential loss, such as lost profit, lost business or loss of data (except Robocaller’s obligations as a processor under section 10.1).

15.2Each party’s total liability is limited to the fees paid for the Service in the 12 months before the event causing the loss.

15.3The limits do not apply to loss caused intentionally or by gross negligence, or to the Customer’s obligation to pay the fees.

16. Changes to these Terms

Robocaller may change these Terms with at least 30 days’ notice in the Service or by email. A change that is material to the Customer applies only once the Customer has accepted it in the Service; the Service may require that acceptance before it can be used. A Customer that does not accept may end the agreement before the change takes effect.

17. Force majeure

Neither party is liable for delay or failure caused by an event beyond its reasonable control.

18. Assignment and subcontractors

Robocaller may use subcontractors and sub-processors and is responsible for their work as for its own. Neither party may assign the agreement without the other’s consent, except Robocaller to its successor in a business transfer.

19. Notices

Robocaller sends notices in the Service and by email to the Customer’s contact address. The Customer sends notices to support@robocaller.io.

20. Governing law and disputes

The agreement is governed by the laws of Finland, excluding its choice-of-law rules. Disputes are resolved by the Helsinki District Court (Helsingin käräjäoikeus) as the court of first instance.

21. Language

These Terms are available in Finnish and English. If the versions conflict, the Finnish version prevails.

Free Trial Terms

These Free Trial Terms supplement Robocaller’s Terms of Service for the company that accepts them (“Customer”) and form part of the agreement. Only the part that applies to the Customer’s trial is accepted.

Part A — Free trial without automatic billing

A1.The trial is free. Nothing is invoiced for the trial, including the usage included in it. Robocaller may limit usage during the trial.

A2.The trial has no fixed end date. Robocaller may end it with at least 14 days’ notice in the Service or by email, or without notice if the Service is misused.

A3.The trial does not continue as a paid subscription by itself. To continue, the Customer must accept a paid Order in the Service; billing starts only as stated in that Order and its own terms.

A4.When the trial ends without a paid Order, the workspace is locked and the data is handled as in section 9.4 of the Terms of Service.

A5.Robocaller offers one free trial per company unless it agrees otherwise.

Part B — Free days in a paid agreement

B1.The Order states the free days. For an e-invoice Order they start on the day the Customer accepts the Order; for a card Order, on the day the Customer adds a payment card in the Service. The free days end at 23:59 Finnish time on the last free day.

B2. Automatic billing. Unless the Customer cancels the free trial before the end of the last free day, the agreement continues automatically as a paid agreement on the terms of the Order from the next day. Robocaller then invoices the fees of the Order by the billing method of the Order (an e-invoice to the address in the Order, or by charging the Customer’s payment card), and the Customer is liable to pay those invoices under the Terms of Service, including late-payment interest, the EUR 40 compensation and suspension after a payment reminder.

B3.How to cancel: the owner of the workspace, or an admin with billing rights, cancels in Settings → Billing → Cancel free trial (also shown on the terms screen), by email to support@robocaller.io, or by replying to a reminder email from Robocaller, before the end of the last free day. After cancelling, the Customer keeps access until the end of the last free day and nothing is invoiced for the free days.

B4.Reminders: Robocaller sends a reminder in the Service and by email to the Customer’s contact address 3 days and 1 day before the last free day (for free days shorter than 7 days, 1 day before). Reminders are a courtesy: a reminder that is not received does not extend the free days or remove the obligation to pay.

B5.Calls made on a free day are not charged, and no phone number can be bought before the free days end. Nothing else is charged for the free days.

B6.If Robocaller extends the free days, the Service shows the new last free day, and the automatic billing in B2 starts the day after it.

B7.Free days are offered once per company and not to a customer who has paid for the Service before.
